Welcome to Merchio, a software-as-a-service (SaaS) platform for managing merchandising field operations. These Terms of Service (“Terms”) govern your access to and use of Merchio and related services (“Service”), provided by DELYVA SDN. BHD. (202001005761) (1362081-M), a company incorporated in Malaysia (“we”, “our”, or “us”).

By accessing or using Merchio, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years old and have the authority to enter into contracts on behalf of your organization to use Merchio. By using the Service, you confirm that you meet these requirements.

2. Account Registration & Access

  • You must provide accurate and complete information when creating an account.
  • You are responsible for safeguarding your login credentials. We are not liable for any unauthorized use of your account.
  • Your organization may manage and control your access as part of an organizational subscription.

3. Use of the Service

You agree to:

  • Use the Service only for lawful business purposes
  • Not misuse the platform (e.g., by attempting unauthorized access, reverse engineering, or transmitting malicious code)
  • Comply with all applicable local, state, and international laws and regulations

We reserve the right to suspend or terminate your access if you breach these Terms.

4. Subscription & Payments

  • Access to certain features requires a paid subscription.
  • All fees are billed in accordance with your selected plan and billing cycle.
  • Failure to make timely payments may result in suspension of your account.

5. Data Ownership & Privacy

  • You retain ownership of the data you input into Merchio.
  • We process and store your data in accordance with our Privacy Policy.
  • You grant us a limited license to use your data solely to provide and improve the Service.

6. Intellectual Property

All content, trademarks, software, and technology provided by Merchio remain the exclusive property of DELYVA SDN. BHD. or its licensors. You may not copy, modify, or distribute any part of the platform without our prior written permission.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may suspend or limit access for maintenance, updates, or force majeure events.

8. Termination

We may suspend or terminate your access if:

  • You breach any provision of these Terms
  • Your subscription expires or remains unpaid
  • Required by law or government order

You may cancel your subscription at any time through your account settings.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages arising out of your use of the Service
  • Our total liability for any claim related to the Service is limited to the amount paid by you in the past 6 months

10. Indemnification

You agree to indemnify and hold harmless DELYVA SDN. BHD. and its affiliates from any claims, losses, or damages resulting from your use of the Service or your violation of these Terms.

11. Modifications

We may revise these Terms at any time. Changes will be posted on this page with a revised effective date. Your continued use after changes are posted constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes shall be resolved in the courts of Malaysia.
